Corporate Transparency Act BOI Filing Requirement Reinstated – New Deadline: March 21, 2025

On February 18, 2025, a judge in the U.S. District Court for the Eastern District of Texas lifted a previous injunction that had temporarily halted enforcement of the Corporate Transparency Act’s (CTA) Beneficial Ownership Information (BOI) filing requirement. As a result, businesses must now comply with the new March 21, 2025 deadline for filing BOI reports.
While this requirement is back in effect, its enforceability remains under appeal, and further rulings from the court of appeal or the Supreme Court could impact compliance obligations. For now, businesses should proceed with filing their BOI reports by the deadline.
Companies required to file can submit their BOI reports through FinCEN’s E-Filing system: boiefiling.fincen.gov. More details on compliance requirements can be found at fincen.gov/boi.
