Federal Court Issues Nationwide Preliminary Injunction on Corporate Transparency Act

The Court's Ruling

A federal district court in Texas has ruled that the Corporate Transparency Act (CTA) “is likely unconstitutional as outside of Congress’s power” and “the compliance deadline is stayed.” The court issued a nationwide preliminary injunction, stating that “companies need not comply with the CTA’s January 1, 2025, BOI reporting deadline pending further order of the Court.” Unless the ruling is changed on appeal, there is no longer an obligation for any company to file beneficial ownership information with the Financial Crimes Enforcement Network (FinCEN).

What Does This Mean for Your Business?

Unless the ruling is overturned on appeal, companies are no longer obligated to file BOI reports under the CTA. This decision brings a temporary reprieve from the complex compliance requirements many businesses were preparing to meet.
However, an appeal by the U.S. Department of Justice is anticipated. If successful, businesses could face a tight timeline to comply with BOI reporting obligations, potentially reinstating the January 1, 2025, deadline.
